These Terms of Service (“Terms”) govern access to and use of the nOS AI Master Scheduling for Schools (“Service”) operated by nOS LLC (“nOS,” “we,” or “us”). By accessing or using the Service, the school or institution (“School” or “you”) agrees to be bound by these Terms. If School does not agree to these Terms, School must not access or use the Service.
School may use the Service solely for its own internal academic administration purposes (building and managing the School’s master schedule). Use is limited to the School’s Authorized Users as defined in the Master Services Agreement (“MSA”).
School and its users must not: (a) upload or transmit malicious code, viruses, or other harmful components; (b) attempt unauthorized access to any part of the Service or nOS systems; (c) harass, threaten, or harm other users or third parties; (d) scrape, crawl, or extract data from the Service in automated ways without nOS’s express written consent; or (e) use the Service for any illegal purpose or in violation of applicable law.
School is responsible for maintaining the confidentiality of all account credentials. School must promptly notify nOS at bennettmiller@nosplanner.com of any unauthorized use of School’s account or any security breach.
The Service is offered on a subscription basis. The base fee is $8.00 per enrolled student per academic year. Actual pricing for each term is set forth in the applicable Order Form. All fees are non-refundable except as expressly provided in the MSA or these Terms.
Subscriptions do not automatically renew. nOS issues annual invoices that must be accepted and paid to continue service for a new term. If payment is not received within thirty (30) days of the invoice date, access to the Service may be suspended or terminated. Schools may cancel by providing written notice no later than seven (7) days before the start of the next subscription term, via email to bennettmiller@nosplanner.com or through the support portal at usenos.org. If a School terminates for cause and nOS fails to cure, a pro-rata refund of prepaid fees for the unused term will be issued within thirty (30) days.
The Service, including all software, content, algorithms, features, and documentation, is the proprietary property of nOS and is protected by applicable intellectual property laws. School has no ownership rights in or to the Service. School retains full ownership of all data School submits to the Service. nOS has a limited license to process School data solely as necessary to provide the Service and as described in the Data Processing Agreement.
nOS will use commercially reasonable efforts to make the Service available on a continuous basis. Scheduled maintenance will be performed during off-peak hours with advance notice to School where practicable. Support requests submitted through the support portal at usenos.org or via email to bennettmiller@nosplanner.com will be addressed promptly during normal business hours.
The Service is provided “as is” and “as available” without warranties of any kind. nOS expressly disclaims all warranties, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. nOS does not warrant that the Service will be uninterrupted, secure, or free from errors or harmful components.
To the maximum extent permitted by law, nOS will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or the use or inability to use the Service. nOS’s total liability to School for all claims arising under these Terms will not exceed the total fees paid by School to nOS in the twelve (12) months preceding the claim.
School agrees to defend, indemnify, and hold harmless nOS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, and expenses (including reasonable attorneys’ fees) arising from or relating to: (a) School’s breach of these Terms or the MSA; (b) misuse of the Service by School or its users; or (c) content or data School submits to the Service that violates applicable law or third-party rights.
These Terms remain in effect for the duration of School’s active subscription. Either party may terminate for material breach upon thirty (30) days’ written notice if the breach is not cured within that period.
School may cancel its subscription with written notice delivered no later than seven (7) calendar days before the next subscription term begins, sent to bennettmiller@nosplanner.com or via the support portal at usenos.org. Subscriptions do not auto-renew; continued access to the Service requires acceptance and payment of a new invoice for the upcoming term.
Upon termination or expiration: (a) School’s access to the Service will be immediately suspended; (b) data handling will be governed by the DPA; and (c) accrued payment obligations will survive.
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws principles. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Wake County, North Carolina. Each party consents to the personal jurisdiction of such courts.
These Terms, together with the MSA and the Data Processing Agreement, constitute the entire agreement between the parties regarding the subject matter hereof. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full effect. nOS may update these Terms from time to time with reasonable prior notice. Continued use of the Service after the effective date of any updated Terms constitutes School’s acceptance of the revised Terms.
